PointOne Connected Applications Terms of Use

These Connected Applications Terms of Use (the "Terms") govern your access to and use of any integration, plug-in, connector, app, or AI-assistant connection that PointOne Technologies, Inc. ("PointOne," "we," "us," or "our") makes available (each, a "Connected Application"). Connected Applications currently include the PointOne app for ChatGPT, and may include other assistants, productivity tools, and practice-management or billing integrations that PointOne offers from time to time. By connecting to or using a Connected Application, you agree to these Terms.
1. Scope and relationship to other agreements
These Terms apply only to Connected Applications.
Your Organization's agreement controls. You access a Connected Application through an account that a law firm or other organization (your "Organization") has established with PointOne. PointOne's provision of the PointOne service, and its processing of Customer Data, are governed by the written agreement between PointOne and your Organization (the "Organization Agreement"). Where these Terms conflict with the Organization Agreement, the Organization Agreement controls. Nothing in these Terms expands, reduces, or waives any right or obligation under the Organization Agreement, including any provision concerning confidentiality, security, data protection, service levels, warranties, indemnities, or limitation of liability.
Privacy. How PointOne collects, uses, discloses, and protects information in connection with a Connected Application is described in the Connected Applications Privacy Notice at https://pointone.com/connectedapps-privacy, which is incorporated into these Terms by reference.
Third-party platforms. These Terms do not govern the third-party platform through which you access a Connected Application (for example, OpenAI and ChatGPT). Those platforms operate under their own terms and privacy policies, which you should review separately. PointOne is not responsible for a third-party platform's services, availability, or outputs, including its selection of tools or records or its summaries of PointOne results.
2. Eligibility and enablement
A Connected Application is available only where:
(a) your Organization holds an active Organization Agreement with PointOne;
(b) you have enabled the Connected Application;
(c) where applicable, the administrator of your Organization's account on the third-party platform has permitted the connection; and
(d) you authenticate with your own PointOne credentials and authorize the connection.
Connected Applications are offered for professional use by legal and professional-services organizations. They are not offered for personal or consumer use.
3. Permissions and access scope
A Connected Application is designed to operate within the permissions already granted to you in the PointOne service. A Connected Application is not designed to bypass:
(a) role-based access controls;
(b) client-level or matter-level access restrictions; or
(c) ethical walls, information barriers, or confidentiality configurations maintained by your Organization, including those synchronized from your Organization's other systems.
A request that falls outside your permissions will be declined. Access through the PointOne app for ChatGPT is also limited by the scopes authorized for the connection or by the settings selected in each Connected Application.
4. What a Connected Application can do
Retrieve. At your request, a Connected Application can retrieve information you are authorized to access in PointOne — which, depending on the Connected Application, may include user and firm directory information, client and matter information, time entries and timers, billing guidelines and classification codes, compliance findings, and reports, summaries, and metrics computed by PointOne.
Act. At your express direction, a Connected Application can create, update, archive, and release time entries, and start and stop timers, and can release time to a system your Organization has configured. Actions taken through a Connected Application are subject to the same permissions, firm billing rules, and client billing guidelines that apply within the PointOne service. For the PointOne app for ChatGPT, PointOne does not require a separate server-side confirmation before executing an authorized tool call. Whether the third-party platform prompts you for confirmation depends on that platform's controls and settings.
PointOne may add, change, or remove the capabilities available through any Connected Application.
5. Your responsibilities
You agree that you will not:
(a) use a Connected Application other than for your Organization's internal professional business purposes;
(b) attempt to access information you are not authorized to access, or circumvent any permission, access control, ethical wall, or information barrier;
(c) use a Connected Application to record time that does not reflect work actually performed, or to evade or misrepresent your Organization's billing policies or a client's outside counsel guidelines;
(d) submit to a Connected Application any special-category or otherwise restricted data that PointOne does not solicit, as described in the Connected Applications Privacy Notice, beyond what appears incidentally in Customer Data supplied by your Organization;
(e) reverse engineer, decompile, or disassemble a Connected Application, or attempt to derive its source code or underlying models;
(f) undertake automated or bulk extraction of data through a Connected Application, other than as expressly permitted in writing by PointOne;
(g) use a Connected Application, or information obtained through it, to build, train, or benchmark a competing product or service; or
(h) share your credentials or authorization, or permit use of a Connected Application by any person who is not an authorized user of your Organization's account.
6. Review before release, and professional responsibility
Output produced through a Connected Application is generated by or with the assistance of AI, including PointOne features and third-party AI assistants and may be incomplete or inaccurate. You and your Organization remain solely responsible for reviewing and approving any time entry, narrative, or other record before it is released, for its accuracy and completeness, and for compliance with applicable professional, ethical, and client obligations. A Connected Application does not provide legal advice.
7. Availability
Availability of a Connected Application depends in part on the third-party platform, your Organization's plan, and workspace settings outside PointOne's control. We may add, modify, suspend, or discontinue any Connected Application or any of its features at any time. Any service level commitments applicable to the PointOne service are as set out in the Organization Agreement; these Terms create none.
8. Intellectual property and feedback
PointOne and its licensors retain all right, title, and interest in and to the Connected Applications, including all associated intellectual property rights. These Terms grant no rights other than the limited right to use a Connected Application in accordance with them. If you choose to provide feedback, comments, or suggestions regarding a Connected Application, you agree that PointOne may use them without restriction or compensation to you.
9. Warranties and liability
Warranties, disclaimers, indemnities, and limitations of liability applicable to a Connected Application are those set out in the Organization Agreement. A Connected Application is a means of accessing the PointOne service and is not a separate service; these Terms create no additional warranty and no separate liability regime.
10. Term and termination
These Terms apply for as long as a Connected Application is enabled and connected. Access ends automatically on disconnection, on revocation by your Organization's administrator, on termination of your PointOne account, or on termination or expiry of the Organization Agreement. Sections 1, 5, 6, 8, 9, and 12 survive termination.
11. Changes to these Terms
We may update these Terms from time to time. Updated Terms will be posted at this URL with a revised "Last Updated" date. Continued use of a Connected Application after an update constitutes acceptance of the revised Terms.
12. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the State of New York, excluding its conflicts of law rules.
Any dispute related to the subject matter of these Terms will be resolved under the dispute resolution provisions of the Organization Agreement. In any action or proceeding to enforce rights under these Terms, the prevailing party is entitled to recover costs and attorneys' fees.
